Create an MSA draft, understand when AI draft generation works, review the document, and manage signatures and edit approval.

What the MSA flow includes

Curoxi lets company admins and customer admins manage one MSA per customer workspace. The document can be reviewed on screen, exported as PDF, signed by both sides, and reopened for edits through an approval flow after signing.

The AI draft button is only for generating the agreement body. Annexure II rates are handled separately from your configured customer rate card.

Before you start

Use this checklist before expecting the AI draft button to work. These are the current product conditions that matter in the live flow.

  • Select the correct customer workspace
  • Use a company admin account if you want to generate the draft with AI
  • Make sure the customer workspace is active, not inactive or pending deletion
  • Configure the company OpenAI API key and OpenAI model in Settings before generating the draft
  • Confirm the document details before you generate the draft
  • Use the review flow before requesting signatures

What stops AI draft generation

These are the main cases where the AI-assisted draft will not run or will fail.

  • OpenAI API key is not configured
  • OpenAI model is not configured
  • The user is not a company admin
  • The customer workspace is inactive
  • The MSA is already locked after signing and edit approval has not been granted yet
  • OpenAI returns an API error or an empty response

About plan and subscription readiness

Today, the MSA backend does not enforce a separate Pro-only block for AI draft generation. So the documentation should not promise a hard Pro restriction unless that rule is added to the product later.

That said, if your team standardizes AI workflows under the Pro plan, you can treat MSA AI drafting as part of your company rollout policy.

Why company profile, customer profile, and rates still matter

Even though the AI prompt itself is simple, the final MSA output is much better when your workspace data is complete.

The customer party name in the document uses the customer billing name when available, and falls back to the customer name if billing details are incomplete.

The rate card shown in Annexure II does not come from the OpenAI response. It is pulled from the configured customer task rates in Curoxi.

  • Keep the company identity accurate so the agreement uses the right service-provider name
  • Complete the customer billing profile so the customer party name and billing-facing details are cleaner
  • Configure task rates before PDF review if you want Annexure II to show the correct rate card
  • If no rates are configured, the generated PDF will show that no rates are configured

Recommended setup order

  1. Complete the company profile and billing-facing company details.
  2. Complete the customer profile for the target customer workspace.
  3. Configure customer task rates if the agreement should include a usable Annexure II rate card.
  4. Configure the company OpenAI API key and OpenAI model in Settings.
  5. Open the customer workspace MSA screen and run Generate Draft With AI.
  6. Review the generated HTML carefully before export or signature.

What the AI draft actually uses

The current AI draft prompt sends only a small amount of context to OpenAI: the company name and the client name. It asks OpenAI to generate HTML for standard agreement sections such as Services, Responsibilities, Fees and Billing, Confidentiality, Data Protection, IP Ownership, and Signature Block.

It explicitly tells OpenAI not to generate Annexure II in the body because rates are managed separately.

Recommended review flow

  • Generate the draft from the document area
  • Review the company party name, customer party name, effective date, service scope, and agreement body
  • Check the Annexure II rate card before you export the PDF
  • Edit the HTML draft before locking signatures
  • Export the PDF only after both sides are ready to finalize

After signing

  • Once any party signs, the MSA becomes locked
  • Further edits require approval from the other party
  • When edit approval is granted, both existing signatures are cleared
  • Both parties must sign again after the updated version is ready
